BRAKESAFEHGV TESTING CENTRE AGREEMENT

This Agreement is made between BrakeSafeHGV Ltd (“BrakeSafeHGV”) and the Testing Centre (“Provider”).

1. Purpose

  • BrakeSafeHGV operates an online booking platform connecting vehicle operators with approved HGV brake testing providers.
  • The Provider wishes to advertise and receive bookings through the Platform.

2. Provider Obligations

The Provider agrees to:

  • Maintain all licences, approvals and insurance required to carry out HGV brake testing.
  • Ensure all equipment is maintained, calibrated and compliant with relevant regulations.
  • Provide accurate availability, pricing and service information.
  • Carry out services professionally and with reasonable skill and care.
  • Comply with all applicable laws, health and safety requirements and DVSA guidance.
  • Notify BrakeSafeHGV immediately of any material changes affecting service delivery.

3. Subscription Fees

  • The Provider shall pay a monthly subscription fee as agreed upon registration.
  • Subscription fees are payable in advance and are non-refundable.
  • BrakeSafeHGV reserves the right to review subscription fees upon providing at least 30 days’ written notice.

4. Booking Commission

  • BrakeSafeHGV shall be entitled to retain a commission on each booking made through the Platform.
  • The commission rate shall be agreed separately and may be amended upon 30 days’ notice.

5. Customer Payments

  • BrakeSafeHGV may collect payments on behalf of the Provider.
  • Any sums due to the Provider shall be remitted in accordance with the agreed payment schedule.
  • BrakeSafeHGV may deduct:
  • Commission fees
  • Chargebacks
  • Refunds
  • Outstanding subscription fees

before remitting payment.

6. Customer Complaints

  • The Provider shall be responsible for resolving complaints relating to services performed.
  • BrakeSafeHGV may assist in dispute resolution but accepts no responsibility for the quality of services provided.

7. Suspension and Termination

BrakeSafeHGV may suspend or terminate the Provider’s access where:
  • Subscription fees remain unpaid.
  • Regulatory requirements are not maintained.
  • Customer complaints indicate serious service concerns.
  • Fraudulent activity is suspected.
Either party may terminate this Agreement by giving 30 days’ written notice.

8. Liability

The Provider shall indemnify BrakeSafeHGV against claims arising from:
  • Services performed by the Provider.
  • Injury or damage caused by the Provider.
  • Breaches of legal or regulatory requirements.

9. Governing Law

This Agreement shall be governed by the laws of England and Wales.
